1. Acceptance of Terms
By accessing and using the services provided by AZ Labs (Pty) Ltd ("AZ Labs," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
AZ Labs provides artificial intelligence consulting, development, and implementation services including but not limited to AI voice agents, chatbots, workflow automation, AI integration, generative AI solutions, strategy advisory, and web development. All services are subject to separate service agreements that may contain additional terms.
3. Intellectual Property
Unless otherwise agreed in writing, AZ Labs retains intellectual property rights to all proprietary tools, frameworks, and methodologies used in service delivery. Custom work products created specifically for clients are assigned to the client upon full payment, as detailed in individual service agreements.
4. Payment Terms
Payment terms are outlined in individual service agreements. Standard terms require a deposit before work begins, with remaining balances due upon milestone completion. All prices are quoted in South African Rand (ZAR) unless otherwise specified.
5. Limitation of Liability
To the maximum extent permitted by law, AZ Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services.
6. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
7. Grocery Normalization & Compute API Terms (Acceptable Use Policy)
Compute & Normalization Scope: Subscription fees apply strictly to AZ Labs' proprietary software compute, pack-size and unit-price normalization, fuzzy entity resolution, GS1 check-digit validation, barcode cross-walking, and basket optimization endpoints (/compare, /compare-payload, /optimize-basket). Public retail prices are uncopyrightable facts passed through at zero charge (R0.00); AZ Labs does not sell or license third-party retailer content.
Nominative Fair Use & Non-Affiliation: Retailer names (Pick n Pay, Checkers, Shoprite, Woolworths, Makro) are used strictly for truthful nominative identification under Section 34(2)(b) of the South African Trade Marks Act 194 of 1993. AZ Labs is independent and not affiliated with or endorsed by any retailer.
Acceptable Use & Anti-Archiving: API keys may only be used for shopper-initiated price comparison, meal planning, or household basket optimization. Automated bulk harvesting, historical price archiving, reselling raw price feeds, or removing fetchedAt / pricedAt provenance and /go/ retailer checkout links is prohibited.
